Terms of Service
These Terms of Service (the "Terms") form a binding agreement between you and Meriq ("Meriq," "the Service," "we," "us," or "our") and govern your access to and use of our websites, applications, APIs, integrations, and related products. By creating an account, by clicking "I agree," or by otherwise using the Service, you accept these Terms in full. If you do not accept these Terms, do not use the Service.
Read These Sections Carefully
Section 10 contains disclaimers, Section 11 limits our liability, Section 12 places indemnification obligations on you, and Section 14 sets the governing law and venue for disputes. Together, those provisions allocate legal and financial risk in important ways. If you do not agree with them, do not use the Service.

1. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract under the laws of your jurisdiction to use the Service. By using Meriq, you represent that you meet those requirements and that you are not barred from receiving services under the laws of any jurisdiction that applies to you, including United States export controls and sanctions programs.
2. Accounts and Security
You are responsible for the confidentiality of your credentials and for everything that happens on or through your account.
- Provide accurate registration information and keep it current.
- Do not share your credentials, and do not allow another person to use your account.
- Choose a strong password and enable any additional security controls we offer.
- Notify us promptly at [email protected] if you suspect unauthorized access, credential theft, or any other security incident affecting your account.
We may require identity verification before processing certain account or billing changes.
3. Acceptable Use
Your use of the Service is governed by our Acceptable Use Policy, which is incorporated into and forms part of these Terms. The Acceptable Use Policy describes the conduct and content that is prohibited on the Service, the enforcement actions we may take, and the process for reporting abuse. We may update the Acceptable Use Policy at the same cadence and with the same notice as these Terms.
Violation of the Acceptable Use Policy is a material breach of these Terms.
4. Your Content and AI Output
4.1 Ownership and license to operate
You retain whatever rights you have in the content you submit to the Service ("Your Content"). You grant Meriq a worldwide, royalty-free, non-exclusive license to host, store, process, transmit, display, back up, route to the AI providers you select, and otherwise use Your Content solely as necessary to operate, secure, support, and improve the Service for you. This license expires when we no longer need it for those purposes, except for residual copies that may persist in backups or audit logs for the time periods described in our Privacy Policy.
4.2 No training on Your Content
We do not use Your Content to train our own AI models, and we contract with our AI subprocessors to ensure they do not retain or train on Your Content beyond what is required to complete your request, except where you specifically opt in.
4.3 AI output is not a substitute for professional advice
AI output may be inaccurate, incomplete, biased, offensive, out of date, or unsuitable for your intended use. You are solely responsible for reviewing AI output and for any decisions, actions, publications, products, or services you create using it. AI output is not legal, medical, financial, tax, engineering, or other professional advice, and using it does not create any professional relationship between you and Meriq.
4.4 Ownership of AI output
Ownership and protectability of AI output depend on the jurisdiction you operate in and on the rights of third parties whose materials may have influenced the output. We do not claim ownership of AI output produced for you. To the extent we hold any right in AI output, we assign that right to you, subject to your compliance with these Terms and with the Acceptable Use Policy.
5. Privacy and Data Handling
Your use of the Service is governed by our Privacy Policy, which is incorporated into and forms part of these Terms. The Privacy Policy explains, among other things, that:
- Paid billing is handled by Stripe. We do not store full card details.
- Conversation content may be stored to provide chat history, continuity, and saved features.
- Cloud Vault content is encrypted with a working key derived from credentials you hold. We do not store a recoverable copy of that key. Our staff cannot read your vault content while you are logged out.
- Meriq does not sell personal information or conversation content, and Meriq does not use Your Content to train AI models.
6. Billing, Subscriptions, and Refunds
6.1 Stripe
All paid subscriptions, credit packs, and other paid features are processed by Stripe. By purchasing, you authorize the charges presented at checkout, including any recurring charges. Currency, fees, and applicable taxes are displayed at checkout. Prices are in United States dollars unless otherwise stated.
6.2 Renewals, upgrades, downgrades, and cancellation
- Subscriptions renew automatically at the end of each billing period until cancelled.
- You may cancel at any time through the in-product billing controls. Cancellation takes effect at the end of the active billing period unless we state otherwise.
- Upgrades generally take effect promptly, and we prorate charges where required.
- Downgrades generally take effect at the end of the active billing period.
6.3 Refund policy
Fees are non-refundable except where required by law, where we state otherwise in writing, or where a refund is appropriate to correct a billing error or a service failure attributable to us. If you believe you have been charged in error, contact [email protected] within 30 days of the charge.
6.4 Price and plan changes
We may change prices, plans, feature packaging, included quotas, or model availability. For changes that affect a recurring subscription you already have, we will provide notice at least 14 days before the change applies to your next renewal.
6.5 Failed payment and termination
If a payment fails, we may retry the charge, suspend access to paid features, and ultimately terminate the subscription. If we terminate your account for breach, you remain liable for fees accrued before termination, and we may withhold refunds to the maximum extent permitted by law.
7. API Access and Service Protection
API access, where offered, may have its own pricing, rate limits, technical requirements, and acceptable use rules in addition to these Terms.
- You are responsible for keeping your API keys secret and for everything that happens under your keys.
- Rotate keys when an employee or contractor with access leaves, when a key is exposed, or on a regular schedule.
- We may rate-limit, throttle, suspend, or revoke API access that creates security, reliability, billing, fraud, or abuse risk.
- You may not use the API or the Service to build a product whose primary purpose is to compete with the Service, to redistribute access to AI models without our written permission, or to circumvent any pricing, quota, or moderation control.
8. Availability and Changes
The Service is provided on an ongoing basis but is not guaranteed to be continuous, uninterrupted, error-free, or compatible with every device, browser, or third-party tool. We may add, remove, modify, deprecate, or replace features, models, providers, workflows, quotas, integrations, and pricing.
Scheduled and unscheduled downtime can occur. We are not liable for losses arising from such events except where applicable law requires otherwise.
9. Suspension and Termination
9.1 By you
You may stop using the Service and delete your account at any time through the in-product controls, subject to any outstanding payment obligations and to the retention requirements described in the Privacy Policy.
9.2 By us
We may suspend, limit, or terminate your access to all or part of the Service, with or without notice, if we believe in good faith that any of the following has occurred:
- You have breached these Terms or the Acceptable Use Policy.
- Your conduct creates legal, security, fraud, or reputational risk for Meriq, our users, or third parties.
- You have failed to pay required fees.
- Your account has been compromised, or we are responding to credible evidence of unauthorized access.
- We are required to do so by law, regulation, court order, or law-enforcement request.
9.3 Effect of termination
Termination ends your right to access the Service. Where reasonably possible, we will preserve a window during which you may export Your Content using in-product export tools. After that window, we may delete Your Content in accordance with the retention provisions of the Privacy Policy. Provisions that by their nature should survive termination will survive, including Section 4 (license grant for residual operational uses), Section 10, Section 11, Section 12, and Section 14.
10. Disclaimers
The service is provided "as is" and "as available." to the fullest extent permitted by law, meriq, its operators, affiliates, licensors, and service providers disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, reliability, and quiet enjoyment.
We do not warrant that the service will meet your requirements, that ai output will be accurate or appropriate for your purpose, that defects will be corrected, or that the service will be uninterrupted, secure, or free of viruses or other harmful components.
Some jurisdictions do not allow disclaimers of certain warranties, so portions of this section may not apply to you.
11. Limitation of Liability
To the maximum extent permitted by law, meriq and its operators, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, business opportunity, data, or substitute goods or services, arising out of or related to your use of, or inability to use, the service, even if we have been advised of the possibility of such damages.
Our total cumulative liability arising out of or related to the service or these terms will not exceed the greater of (a) the amount you paid to meriq for the service in the twelve months immediately preceding the event giving rise to the claim, or (b) one hundred united states dollars (us$100).
The limitations in this section apply to claims of every kind, whether based on contract, tort (including negligence), strict liability, statute, or otherwise. Some jurisdictions do not allow limitation of certain damages, so portions of this section may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Meriq, its operators, affiliates, licensors, employees, contractors, and service providers from and against any claim, demand, action, liability, judgment, damage, loss, cost, or expense (including reasonable legal fees) arising out of or related to (a) Your Content, (b) your use of, or inability to use, the Service, (c) your violation of these Terms, the Acceptable Use Policy, or any applicable law, regulation, or court order, or (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights. We may, at our sole discretion, assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully in our defense.
13. Changes to These Terms
We may update these Terms from time to time. When changes are material, we will provide notice through the Service, by email, or both, at least 14 days before the change takes effect, unless a shorter period is required by law or by an exigent security or legal circumstance. Your continued use of the Service after the new Terms take effect constitutes acceptance of the updated Terms. If you do not accept the change, your remedy is to stop using the Service.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any dispute, claim, or controversy arising out of or related to the Service or these Terms will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and you and Meriq consent to personal jurisdiction and venue in those courts. You agree to waive any objection based on inconvenient forum.
You and meriq each waive any right to a jury trial of any claim arising out of or related to these terms or the service, to the maximum extent permitted by law.
You and meriq agree that claims must be brought in the parties' individual capacities, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
If you are a consumer located in the European Union, the United Kingdom, or another jurisdiction whose laws prohibit the choice of governing law or forum above as applied to consumers, the mandatory consumer-protection laws of your country of residence will continue to apply, and the courts of your country of residence will have jurisdiction over consumer disputes you bring against us.
15. Miscellaneous
- Entire agreement. These Terms, together with the Acceptable Use Policy and the Privacy Policy, are the entire agreement between you and Meriq regarding the Service and supersede all prior agreements on the same subject.
- Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable.
- No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a merger, acquisition, financing, or sale of assets.
- Notice. Notices to you may be given by email to the address on your account, by in-product notification, or by posting on this page. Notices to us must be sent to [email protected].
- Force majeure. Neither party is liable for failure to perform caused by events outside its reasonable control, including natural disasters, acts of war or terrorism, civil disorder, labor disputes, government action, internet or infrastructure outages, and pandemic.
- Relationship. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between you and Meriq.
